These Terms govern your access to and use of WiserCal. Please read them carefully. By using our Service, you agree to be bound by these Terms.

Acceptance of Terms

Agreement

By accessing or using WiserCal (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying customers.

Modifications

We reserve the right to update these Terms at any time. We will notify you of material changes by email or via a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Additional Terms

Certain features or services may be subject to additional terms presented at the time of use. Those additional terms are incorporated into these Terms by reference.

Your Account

Eligibility

You must be at least 16 years of age to use wisercal. By using the Service, you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at security@wisercal.io if you suspect unauthorized access to your account.

One Account Per Person

Each individual may maintain only one free account. Creating multiple free accounts to circumvent usage limits is prohibited and may result in account termination.

Account Termination

You may delete your account at any time from your account settings. We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or remain inactive for more than 24 consecutive months.

Use of the Service

Permitted Use

WiserCal is provided for lawful scheduling purposes — booking meetings, managing availability, and coordinating with clients and colleagues. You may use the Service for personal, business, or organizational scheduling.

Prohibited Conduct

You may not use the Service to: (a) send unsolicited communications or spam; (b) impersonate any person or entity; (c) collect personal information about others without consent; (d) transmit harmful, offensive, or illegal content; (e) attempt to gain unauthorized access to any part of the Service or its related systems; (f) use automated tools to scrape, crawl, or extract data from the Service.

Fair Use

We reserve the right to throttle or suspend accounts that place excessive load on our infrastructure beyond normal usage patterns, as determined at our reasonable discretion.

Third-Party Integrations

When you connect third-party services (Google, Microsoft, Zoom, Slack), you authorize us to interact with those services on your behalf within the permissions you grant. Your use of those third-party services is also subject to their own terms and privacy policies.

Subscriptions and Payment

Free Plan

The free plan is available indefinitely subject to these Terms and applicable usage limits. We reserve the right to change the features included in the free plan with reasonable advance notice.

Paid Subscriptions

Paid plans are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method at the start of each billing cycle. All fees are in US Dollars unless otherwise stated.

Cancellation and Refunds

You may cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then. We do not offer prorated refunds for partial billing periods, except where required by applicable law.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you disagree with a price change, you may cancel your subscription before it takes effect.

Taxes

You are responsible for any applicable sales, use, VAT, or similar taxes. Where required by law, we will collect and remit such taxes on your behalf.

Content and Intellectual Property

Your Content

You retain full ownership of all content you submit to WiserCal — including your event types, booking page customizations, and meeting information. You grant us a limited, non-exclusive license to host, display, and transmit your content solely as necessary to provide the Service.

WiserCal IP

The Service, including its design, code, trademarks, logos, and all related intellectual property, is owned by wisercal, Inc. and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an irrevocable, royalty-free license to use that feedback in any manner. We are not obligated to compensate you for feedback.

Privacy

Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

Data Processing

For users subject to GDPR, our Data Processing Agreement (DPA) is available upon request at privacy@wisercal.io. The DPA governs our processing of personal data on your behalf.

Disclaimers

As-Is Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

Uptime

While we target 99.9% monthly uptime, we do not guarantee any specific level of availability. Scheduled maintenance, emergency fixes, and events beyond our reasonable control may result in downtime.

Limitation of Liability

Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, wisercal, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Cap on Damages

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to WiserCal in the 12 months prior to the event giving rise to the claim, or (b) $100 USD.

Essential Basis

The limitations above reflect an allocation of risk between the parties and are an essential element of the basis of the bargain between us. They shall apply even if any remedy fails of its essential purpose.

Governing Law & Disputes

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law provisions.

Dispute Resolution

Before filing a formal claim, you agree to contact us at legal@wisercal.io and attempt to resolve the dispute informally. If not resolved within 30 days, disputes shall be resolved by binding arbitration in San Francisco, California, under the rules of JAMS.

Class Action Waiver

You waive the right to participate in class action lawsuits or class-wide arbitration against wisercal. Claims must be brought individually.
